BUSINESS AFFAIRS - STRATEGIC COUNSEL & DEAL NEGOTIATION

Business Affairs Counsel to television networks, film and television production companies, studios, distribution companies, streaming platforms, as well as individual producers, actors, writers, directors and investors. 

 

More specifically:

  • Negotiate and draft agreements for development, production/co-production, finance and distribution, licensing agreements, rights acquisitions, talent engagements.

  • Analysis of rights and chain-of-title issues related to acquisition and development of intellectual property.

  • Negotiate content acquisition agreements for all forms of media and exploitation.

  • Negotiate and draft distribution agreements with broadcast stations, cable/satellite MVPDs, OTT internet platforms (vMVPDs) and FAST streaming platforms

  • Negotiate and draft agreements for the sale and licensing of content across all forms of media, including both traditional and all forms of new digital media exploitation.

  • Advise on all forms of production financing, including traditional equity funding, collateralized production lending, domestic/international tax incentives, gap financing and other sources of production funds.

  • Advise on content issues relating to insurance, guild/union matters and music licensing.
